OSD Tools Pro Terms of Use (Software License Agreement)

These Terms of Use (the "Terms") govern the license (the "License") to use the Pro edition features of the software provided by Ohkita System Design ("we" or "us") on osdes.com, such as ComCom and CipMes (the "Software"). By purchasing a License, you ("you" or the "Customer") agree to these Terms.

Article 1 (Grant of License)

  1. Subject to these Terms, we grant you a non-transferable, non-exclusive right to use the Pro edition features of the Software.
  2. Each License may be used on one computer. To use the Software on multiple computers, please purchase one License per computer.
  3. When you replace your computer, you may remove the License from the old computer and register it on the new one.
  4. All copyrights and other intellectual property rights in the Software belong to us. These Terms do not transfer any such rights to you.

Article 2 (Scope of Updates)

  1. The License allows you to use the Pro edition features of versions released on or before the update expiration date stated in the license key (one year from the date of purchase).
  2. After the update expiration date, you may continue to use versions released on or before that date without time limit.
  3. To use the Pro edition features of versions released after the update expiration date, you must purchase a new License.

Article 3 (Prohibited Acts)

You must not:

  1. Disclose, transfer, lend, or sell your license key to third parties, or publish it on the internet or elsewhere;
  2. Use the Software on more computers than licensed;
  3. Modify the Software or license key, or attempt to circumvent license verification by decompiling, disassembling, or other means;
  4. Redistribute or sell the Software; or
  5. Otherwise violate any law or these Terms.

Article 4 (Information Contained in the License Key)

The license key contains the license holder name and email address entered at the time of purchase. If you give your license key to others, this information will also become known to them, so please handle it with care.

Article 5 (Refunds)

  1. Because this is a digital product, we do not, in principle, accept cancellations or refunds after purchase. Please check that the Software works with the free edition before purchasing.
  2. Notwithstanding the preceding paragraph, we will refund the full amount if you contact us by email within 30 days of purchase in the following cases:
    • You confirmed operation with the free edition before purchasing, but the Pro edition features do not work in your environment and we are unable to resolve the issue; or
    • You purchased the same License twice by mistake.
  3. If a refund is made, the License terminates and you may no longer use the license key. We may invalidate the license key in later versions of the Software.

Article 6 (Disclaimer of Warranties)

  1. The Software is provided "as is." We do not warrant that the Software is free of errors, fit for a particular purpose, or works with all equipment and environments you use.
  2. The Software includes features that communicate with industrial equipment such as PLCs. When using it with production equipment in operation, you are responsible for performing sufficient checks and safety measures in advance.

Article 7 (Limitation of Liability)

  1. Except in cases of our willful misconduct or gross negligence, we are not liable for any damage arising from the use of or inability to use the Software (including equipment downtime, loss of data, and lost profits).
  2. Even where we are liable, except in cases of our willful misconduct or gross negligence, our liability is limited to the amount you paid us for the License concerned.

Article 8 (Support)

Inquiries are accepted by email (license@osdes.com) in English or Japanese. We will make reasonable efforts to respond, but we do not guarantee the timing or content of responses or that defects will be fixed.

Article 9 (Termination of License)

If you violate these Terms, we may terminate the License without notice. In that case, we will not refund the purchase price.

Article 10 (Changes to These Terms)

We may change these Terms as necessary. The revised Terms take effect when posted on osdes.com. However, we will not change the scope of the License already purchased (Articles 1 and 2) to your disadvantage.

Article 11 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute relating to these Terms shall be subject to the exclusive jurisdiction of the district court having jurisdiction over our location as the court of first instance.

Language

This English version is a translation for reference. If there is any discrepancy between this English version and the Japanese version, the Japanese version prevails.
